ARBITRATION NOTICE: SECTION 20 OF THESE TERMS CONTAINS A MANDATORY INDIVIDUAL ARBITRATION PROVISION AND CLASS-ACTION WAIVER. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND MATCHPOINT HEALTH AGREE TO RESOLVE COVERED DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN COURT PROCEEDINGS.
Introduction
Welcome to MatchPoint Health.
MatchPoint Health is a digital healthcare and wellness platform operated by MatchPointJR LLC, doing business as MatchPoint Health ("MatchPoint Health," "Company," "we," "our," or "us").
MatchPoint Health owns and operates https://matchpointhealth.co (the "Website") and facilitates access to digital healthcare services, licensed healthcare professionals, prescription treatment programs, wellness information, and related services (collectively, the "Services").
MatchPoint Health provides a technology-enabled platform connecting eligible individuals with independent licensed healthcare professionals and affiliated medical entities ("Providers"), as well as authorized pharmacy partners ("Partner Pharmacies").
MatchPoint Health does not independently practice medicine, diagnose medical conditions, prescribe medications, or make clinical treatment decisions. All clinical services are performed by appropriately licensed Providers exercising independent professional medical judgment.
These Terms of Use ("Terms") govern access to and use of the Website, patient portal, associated applications, content, features, and nonclinical services provided by MatchPoint Health.
Additional agreements, informed consent documents, privacy notices, and program-specific disclosures may apply to healthcare services furnished through the Website.
By visiting the Website, creating an account, purchasing services, or otherwise accessing the Platform, you acknowledge that you have read, understood, and agree to these Terms.
If you do not agree to these Terms, you must discontinue use of the Website and Services.
1. Privacy
MatchPoint Health respects the privacy and confidentiality of individuals using our Website and Services.
Our collection, use, storage, and disclosure of personal information are described in our Privacy Policy.
Certain healthcare information collected through the Platform may be subject to the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and other applicable federal and state privacy laws.
Independent healthcare Providers and other covered entities may maintain separate Notices of Privacy Practices governing the use and disclosure of Protected Health Information ("PHI").
Users are encouraged to review the applicable Privacy Policy and Notice of Privacy Practices before submitting personal or medical information.
MatchPoint Health and its authorized service providers implement administrative, technical, and organizational safeguards appropriate to their respective legal obligations.
2. Changes to These Terms
MatchPoint Health reserves the right to modify, revise, or update these Terms at any time in accordance with applicable law.
Changes will be reflected through an updated revision date posted on the Website.
Unless otherwise required by law, updated Terms become effective upon publication.
Your continued use of the Website following the effective date of revised Terms constitutes acceptance of those changes to the extent permitted by law.
We encourage users to review these Terms periodically.
Where additional notice or affirmative consent is legally required, MatchPoint Health will provide or obtain it.
3. The Website Does Not Provide Medical Advice
THE INFORMATION PROVIDED ON THE MATCHPOINT HEALTH WEBSITE IS INTENDED FOR GENERAL EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.
MatchPoint Health may provide general information concerning weight management, metabolic health, hormone health, men's health, hair loss, sexual wellness, and other healthcare programs.
Information presented on the Website should not replace individualized medical advice from a qualified healthcare professional.
All medical consultations, diagnoses, treatment recommendations, prescription decisions, and clinical assessments are performed by independent licensed Providers.
A Provider has sole professional discretion to determine whether treatment is medically appropriate.
Availability of a treatment program on the Website does not guarantee eligibility or prescription approval.
MatchPoint Health does not guarantee specific treatment outcomes or results.
Never disregard professional medical advice or delay seeking medical attention because of information obtained through the Website.
4. Reliance on Information Posted
MatchPoint Health makes reasonable efforts to maintain accurate, current, and informative Website content.
However, medical information, treatment availability, medication pricing, pharmacy relationships, and program requirements may change.
We do not guarantee that all informational content is complete, current, or appropriate for every individual.
Any reliance on general informational materials is at your own discretion and risk, subject to applicable law.
Individual responses to treatment vary.
MatchPoint Health does not guarantee weight loss, improved hormone levels, hair regrowth, enhanced physical performance, improved sexual function, or any other particular healthcare outcome.
Patients should consult their licensed Provider regarding the potential benefits, limitations, alternatives, and risks of any treatment.
5. Electronic Communications, Notices, and Signatures
By registering for an account or using the Services, you consent to receive electronic communications relating to your account and healthcare program.
These communications may include account notifications, appointment reminders, treatment-related administrative notices, billing statements, prescription status updates, and other transactional messages.
Communications may be delivered through email, SMS, patient portal notifications, or other available electronic channels, subject to applicable law.
You acknowledge that standard messaging and data charges may apply.
MatchPoint Health may also provide marketing communications, promotional offers, newsletters, and information about available programs.
Where required by law, we will obtain separate consent before sending promotional or automated marketing communications. Consent to marketing communications is not required to purchase our Services.
You may opt out of marketing emails by following the unsubscribe instructions included in those messages.
You may opt out of promotional SMS communications by replying STOP where supported or through another disclosed opt-out method.
Opting out of promotional communications does not necessarily prevent legally required or essential transactional communications.
You agree that electronic acknowledgments, agreements, disclosures, and signatures may satisfy applicable legal requirements for written communications.
Your electronic acceptance of agreements or disclosures through the Website constitutes a legally binding electronic signature where permitted by law.
6. Changes to the Website and Services
MatchPoint Health may update, modify, expand, suspend, or discontinue Website features, treatment offerings, or administrative services.
The availability of healthcare programs may vary based on:
- Provider licensing and medical availability.
- Applicable federal and state laws.
- Individual medical eligibility.
- Pharmacy inventory and fulfillment capabilities.
- Geographic restrictions.
- Operational and technological considerations.
MatchPoint Health does not guarantee that any specific treatment or medication will remain continuously available.
Changes affecting paid services will be administered in accordance with applicable law and the terms disclosed at purchase.
7. Ownership of the Website and Content
The Website and its associated materials, including text, graphics, designs, photographs, software, logos, educational content, and other proprietary assets, belong to MatchPoint Health or its authorized licensors.
These materials are protected by applicable copyright, trademark, and intellectual property laws.
Users receive a limited, nonexclusive, nontransferable, revocable right to access the Website for lawful personal use.
No ownership interest in Website materials is transferred to users.
Unauthorized reproduction, commercial distribution, modification, reverse engineering, or exploitation of Website materials is prohibited except as permitted by law.
8. Trademarks
The MatchPoint Health name, brand identity, logos, service marks, promotional designs, slogans, and associated branding elements are proprietary to MatchPoint Health or their respective rights holders.

- Resell, distribute, or otherwise unlawfully transfer prescription medications.
- Use the Website for unlawful, abusive, or unauthorized commercial activities.
MatchPoint Health may suspend or terminate accounts that violate these Terms, subject to applicable law and patient-protection obligations.
10. Telehealth Services, Independent Providers, Pharmacy Fulfillment, and Shipping
A. Independent Healthcare Providers
MatchPoint Health facilitates access to independent licensed healthcare professionals through its digital healthcare platform.
All medical consultations, clinical evaluations, diagnoses, treatment determinations, and prescriptions are performed by qualified Providers acting within their professional scope.
Providers independently determine whether any medical treatment or prescription is appropriate.
MatchPoint Health does not control or override independent clinical judgment.
Patients may be required to complete medical questionnaires, identity verification, telehealth consent forms, and other clinical requirements before receiving treatment.
B. Geographic and Clinical Eligibility
Telehealth services are offered only in jurisdictions where participating Providers and pharmacies are legally authorized to deliver the requested services.
Patients may be required to verify their physical location during a consultation.
A Provider may decline or discontinue a treatment when medically inappropriate, contraindicated, unlawful, or otherwise unsuitable.
No prescription or medical outcome is guaranteed.
C. Prescriptions
When clinically appropriate, a licensed Provider may issue a prescription and transmit the necessary information to an authorized pharmacy.
Patients authorize the transmission of prescription and fulfillment information as permitted by law and applicable privacy requirements.
Pharmacy selection and prescription transfers will be handled in accordance with applicable laws and patient rights.

Pharmacy participation, product availability, and fulfillment eligibility may vary by medication, program, and state.
MatchPoint Health reserves the right to facilitate fulfillment through additional appropriately licensed pharmacies, consistent with applicable law and patient rights.
E. Shipping and Delivery
Prescription medications are dispensed and shipped by the applicable Partner Pharmacy or its authorized fulfillment partners.
Shipping and delivery timelines are estimates and are not guaranteed.
Delays may occur because of prescription verification, pharmacy processing, carrier issues, holidays, weather, inventory availability, or other circumstances.
Questions regarding shipping, delivery status, packaging, tracking, and medication handling should be directed to the dispensing pharmacy.
MatchPoint Health may assist in connecting patients with the appropriate pharmacy-support resources but does not itself dispense or ship prescription medications.
F. Temperature-Sensitive Medications
Certain prescription products require refrigeration or other specialized storage conditions.
Patients are responsible for promptly retrieving deliveries and following pharmacy-provided storage instructions.
If medication arrives damaged, improperly packaged, or potentially compromised by temperature exposure, patients should contact the dispensing pharmacy before using the medication.
G. Packaging and Medication Safety
Packaging may vary depending on the medication, pharmacy, and applicable regulations.
Where legally permitted, some medications may be supplied in packaging that is not child-resistant.
Patients are responsible for securing medications appropriately.
All medications should be stored safely and kept out of reach of children and pets.
H. Compounded Medications
Certain MatchPoint Health programs may involve compounded medications when prescribed and dispensed in accordance with applicable federal and state laws.
Compounded medications are not FDA-approved and have not undergone FDA premarket review for safety, effectiveness, or quality.
A compounded medication may differ from an FDA-approved product in formulation, ingredients, concentration, or other characteristics.
The decision to prescribe a compounded medication is made exclusively by a licensed Provider exercising independent clinical judgment.
Compounded medication availability is subject to all applicable legal and regulatory restrictions.
MatchPoint Health does not guarantee the availability of any specific compounded medication.
Patients should discuss the risks, benefits, alternatives, and proper use of prescribed medications with their Provider.
11. Payment, Subscriptions, Automatic Renewal, Cancellation, and Refunds
A. Cash-Pay Services
MatchPoint Health offers healthcare programs primarily through a direct-payment, cash-pay model.
Unless expressly stated otherwise, Services are not billed directly to insurance.
MatchPoint Health does not guarantee reimbursement through insurance plans, health savings accounts, flexible spending accounts, or other benefit arrangements.
B. Payment Authorization
By providing a valid payment method, you authorize MatchPoint Health or its designated payment processing partners to process charges associated with purchases you approve.
For treatment programs requiring clinical approval, payment is collected after the applicable clinical approval.
Payment details may be collected or verified in advance when properly disclosed, but charges for treatment requiring approval will be assessed only in accordance with the applicable checkout terms.
Pricing, applicable taxes, fees, and billing arrangements will be disclosed before purchase.
C. Clinical Ineligibility and Refunds
If a licensed Provider determines that a patient is not medically eligible for a requested treatment before fulfillment, the patient will not be charged for the unapproved treatment or will receive a full refund of any amount previously charged for that treatment.
Refunds will generally be returned to the original payment method, subject to payment processing requirements and applicable law.
D. One-Time Purchases
Certain MatchPoint Health programs and services may be offered as one-time purchases.
One-time purchases do not automatically create recurring subscriptions unless the patient separately agrees to recurring billing.
Prices and program inclusions will be disclosed before checkout.
E. Monthly Subscriptions and Automatic Renewal
MatchPoint Health offers recurring monthly subscription programs.
By enrolling in a subscription, you authorize MatchPoint Health and its payment processing partners to charge your selected payment method according to the disclosed recurring billing schedule.
Monthly subscriptions automatically renew unless canceled in accordance with the cancellation terms provided at enrollment.
Subscription fees, renewal frequency, included services, and applicable cancellation policies will be disclosed before enrollment.
Continued medical treatment remains subject to Provider approval and clinical appropriateness.
F. Subscription Cancellation
Patients may cancel their subscriptions through the cancellation options provided within their account or another clearly disclosed cancellation channel.
To avoid the next recurring billing charge, cancellation must be completed at least 48 hours before the scheduled renewal date, except where applicable law requires a different rule.
Cancellations submitted after the applicable deadline may take effect in a subsequent billing cycle, subject to applicable law and the terms disclosed at enrollment.
Patients will receive any cancellation rights and methods required by applicable consumer protection laws.
Canceling a subscription does not automatically reverse medication orders already submitted for pharmacy fulfillment.
G. Refunds After Pharmacy Submission
Once a valid prescription has been transmitted to a dispensing pharmacy for fulfillment, associated prescription payments are generally nonrefundable, except where required by applicable law.
This policy does not eliminate legally protected rights involving dispensing errors, defective products, unauthorized charges, or other circumstances requiring a refund or remedy.
Medication quality, damage, and fulfillment concerns should be promptly reported to the dispensing pharmacy.
H. Payment Failures
If a payment method is declined, expired, or otherwise invalid, MatchPoint Health may suspend future purchases or subscription renewals as permitted by law.
Patients remain responsible for lawful charges properly incurred before cancellation.
Payment disputes may be investigated through MatchPoint Health and its designated payment partners.
Nothing in these Terms waives legally protected payment dispute or chargeback rights.
12. Promotions, Discounts, Referrals, and Affiliate Programs
MatchPoint Health may offer promotional pricing, referral incentives, discount codes, introductory offers, or affiliate programs.
Promotions may be subject to eligibility requirements, geographic limitations, expiration dates, and additional terms.
Unless expressly stated otherwise, offers cannot be combined.
MatchPoint Health may reject fraudulent, unauthorized, or prohibited promotional activity.
All referral and affiliate arrangements must comply with applicable healthcare laws, advertising standards, consumer protection rules, and other legal requirements.
Promotional incentives do not guarantee medical eligibility, clinical approval, or prescription issuance.
Clinical decisions remain solely within the discretion of licensed Providers.
13. Suspension and Termination
MatchPoint Health may suspend or terminate access to the Website or nonclinical Services when reasonably necessary due to:
- Violations of these Terms.
- Fraudulent or unauthorized activity.
- Security concerns.
- Misrepresentation of identity or eligibility.
- Unlawful activity.
- Applicable legal or regulatory requirements.
Termination of access does not eliminate outstanding lawful payment obligations.
Termination of a Website account does not override the professional obligations of independent Providers regarding patient care, medical records, or continuity of treatment.
Applicable provisions concerning intellectual property, liability, indemnification, and dispute resolution survive termination to the extent legally permitted.
14. Third-Party Links and Services
The Website may contain links to independent medical providers, pharmacies, payment processors, educational resources, and other third-party platforms.
MatchPoint Health does not control unrelated third-party websites and is not responsible for their content, policies, or practices, except where responsibility is imposed by applicable law.
Third-party services may be governed by separate agreements and privacy policies.
Users should review those terms before accessing third-party resources.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE NONCLINICAL WEBSITE, PLATFORM FEATURES, AND GENERAL INFORMATIONAL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
MATCHPOINT HEALTH DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT PERMITTED BY LAW.
MATCHPOINT HEALTH DOES NOT GUARANTEE UNINTERRUPTED WEBSITE ACCESS, ERROR-FREE FUNCTIONALITY, MEDICATION AVAILABILITY, CLINICAL APPROVAL, OR SPECIFIC TREATMENT OUTCOMES.
NOTHING IN THIS SECTION LIMITS NONWAIVABLE CONSUMER RIGHTS OR THE PROFESSIONAL OBLIGATIONS OF LICENSED HEALTHCARE PROVIDERS.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MATCHPOINT HEALTH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS, AND AUTHORIZED SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM USE OF THE NONCLINICAL WEBSITE OR PLATFORM.
TO THE EXTENT PERMITTED BY LAW, MATCHPOINT HEALTH'S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING FROM ITS NONCLINICAL PLATFORM SERVICES SHALL NOT EXCEED THE GREATER OF:
- ONE HUNDRED UNITED STATES DOLLARS ($100); OR
- THE TOTAL AMOUNT PAID BY THE CLAIMANT TO MATCHPOINT HEALTH FOR THE APPLICABLE PLATFORM SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THESE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW AND DO NOT EXCLUDE LIABILITY OR REMEDIES THAT CANNOT LAWFULLY BE LIMITED.
NOTHING IN THESE TERMS LIMITS THE INDEPENDENT LEGAL OR PROFESSIONAL RESPONSIBILITIES OF LICENSED HEALTHCARE PROVIDERS OR DISPENSING PHARMACIES.
17. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless MatchPoint Health, its officers, directors, employees, affiliates, and authorized representatives from third-party claims, damages, liabilities, losses, and reasonable expenses arising from:
- Your material violation of these Terms.
- Fraudulent or unlawful use of the Website.
- Unauthorized access or misuse of the Platform.
- Infringement of third-party intellectual property rights.
- Intentional misconduct in connection with your use of the Services.
This obligation does not require indemnification for MatchPoint Health's own negligence, unlawful conduct, or other liability that cannot lawfully be transferred to a user.
18. Governing Law
These Terms shall be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except where applicable federal law or mandatory laws of another jurisdiction require otherwise.
Nothing in these Terms overrides nonwaivable patient rights, healthcare laws, privacy protections, or consumer protections applicable in a patient's state of residence or treatment.
Independent healthcare Providers and pharmacies remain subject to their applicable licensing and professional laws.
19. Informal Dispute Resolution
Before initiating formal dispute proceedings, you and MatchPoint Health agree to attempt to resolve covered disputes informally and in good faith, except where prohibited by applicable law or immediate judicial relief is permitted.
Written dispute notices should include your name, relevant account information, a description of the dispute, and the requested resolution.
Notices may be submitted to:
MatchPoint Health
Email: justinr@matchpointhealth.co
The parties will attempt to resolve the dispute within 30 days following receipt of proper written notice.
Nothing in this provision prevents the exercise of nonwaivable statutory rights or access to emergency legal relief.
20. Binding Arbitration and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS CERTAIN RIGHTS TO PURSUE DISPUTES IN COURT.
To the extent permitted by applicable law, you and MatchPoint Health agree that disputes arising from or relating to these Terms or the use of the nonclinical Platform that cannot be resolved informally shall be resolved through individual, binding arbitration.
Arbitration shall be administered by JAMS pursuant to its applicable consumer arbitration rules and procedures.
A single neutral arbitrator will resolve the dispute.
Hearings may be conducted by videoconference, telephone, or other legally permitted means. Any required in-person proceeding will be conducted in accordance with applicable consumer arbitration rules and legal requirements.
Arbitration fees and expenses shall be allocated according to applicable law and the arbitration administrator's consumer rules.
TO THE EXTENT PERMITTED BY LAW, YOU AND MATCHPOINT HEALTH AGREE THAT COVERED DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF A CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
For disputes properly subject to arbitration, both parties waive the right to a jury trial to the extent permitted by applicable law.
Claims that cannot lawfully be subjected to mandatory predispute arbitration are excluded from this provision.
Eligible individual claims may be pursued in small claims court where legally permitted.
Either party may seek legally permitted emergency relief or protection of intellectual property rights in a court of appropriate jurisdiction.
If any portion of this arbitration provision is unenforceable, the remaining provisions shall be applied to the extent permitted by law.
No contractual provision in this section shortens a legally protected statute of limitations.
21. Waiver and Severability
Failure by MatchPoint Health to enforce any provision of these Terms does not constitute a waiver of future enforcement rights.
If a provision is determined to be invalid, unlawful, or unenforceable, that provision shall be limited or severed as necessary while the remaining provisions continue in effect, subject to applicable law.
22. Geographic Restrictions
MatchPoint Health is a United States-based digital healthcare platform.
Healthcare programs and prescription services are available only to eligible individuals physically located in jurisdictions where participating Providers and Partner Pharmacies are authorized to deliver the requested services.
Service availability may vary by state, treatment category, provider licensing, pharmacy capacity, and legal requirements.
Accessing the Website from an unsupported jurisdiction does not establish eligibility for treatment.
MatchPoint Health does not represent that all services are available in every state or outside the United States.
23. Entire Agreement
These Terms, together with any applicable policies and documents expressly incorporated by reference, constitute the agreement between you and MatchPoint Health concerning use of the nonclinical Website and Platform.
Separate agreements, provider consent documents, privacy notices, prescription disclosures, or pharmacy terms may govern clinical services and medication fulfillment.
Nothing in these Terms supersedes legal obligations or patient rights that cannot be modified by agreement.
